
Confidentiality and Intellectual Property Policy

Your employment agreement also contains confidentiality and IP clauses. Both this policy and your employment agreement apply. Where there is any inconsistency, your employment agreement prevails.
1. Purpose
Adelitics Pty Ltd (ACN 665 405 569) is built on proprietary technology and analytical methods developed over more than a decade. Our clients share sensitive operational and infrastructure data with us under expectations of strict confidentiality. Protecting both is fundamental to our business and to the trust our clients place in us.
This policy sets out how employees must handle confidential information and intellectual property, both Adelitics' own and that of our clients.
2. Who This Applies To
This policy applies to all Adelitics employees and directors. Obligations under this policy continue after employment ends, for as long as the information remains confidential.
3. Confidential Information
3.1 What it includes
Confidential information means any information that is not publicly known and that Adelitics or our clients would reasonably regard as sensitive. This includes:

Adelitics' platform, algorithms, models, methods and source code

Patents, patent applications, trade secrets and know-how

Client data, including sensor data, network maps, asset records and operational data

Commercial terms, pricing, proposals and contract details

Business strategies, pipeline, financials and forecasts

Personnel information, salaries and performance records

Any information marked confidential, or provided under a confidentiality agreement
3.2 How to handle it

Only access confidential information you need to do your job

Do not share it outside Adelitics without explicit authorisation

Do not discuss it in public places or where it could be overheard

Store it securely: use Adelitics or client-approved systems, not personal devices or cloud storage

If you receive confidential information from a client that is more sensitive than expected, let Jodie Bricout know

Return or destroy confidential information when your employment ends, as directed
3.3 Client data
Data provided by clients (including SA Water and other utilities) is held on behalf of those clients and must be treated with the same care as Adelitics' own confidential information. It must not be used for any purpose other than delivering the services agreed with that client, and must not be shared with any other client or third party.
4. Intellectual Property
Any intellectual property you create in the course of your employment belongs to Adelitics. This includes:

Code, algorithms and analytical methods

Reports, technical documents, presentations and proposals

Inventions, discoveries and improvements

Data models, training datasets and outputs
This applies whether the work was done during business hours or outside them, if it relates to Adelitics' business or uses Adelitics resources or information.
4.2 Prior IP
If you believe you bring pre-existing IP to your role that could be relevant to your work at Adelitics, disclose this to Jodie Bricout before using it. Do not incorporate third-party or prior IP into Adelitics' work without prior agreement.
4.3 Open source software
Do not incorporate open source software into Adelitics' code or systems without first checking the licence terms with Mark Stephens. Some open source licences impose conditions that could affect Adelitics' IP position.
4.4 Client IP
IP created specifically for a client as part of a project may be subject to client ownership or licence terms as set out in the relevant client agreement. Where this is the case, Jodie Bricout will advise you.
5. After Employment Ends
When your employment with Adelitics ends:

Return all Adelitics and client information and materials, including copies

Delete Adelitics or client information from any personal devices

Your confidentiality obligations continue indefinitely for trade secrets and for as long as information remains confidential

IP assignment obligations apply to IP created during your employment, regardless of when it is registered or commercially exploited
6. Reporting Concerns
If you become aware of an actual or potential breach of confidentiality or unauthorised use of IP, whether by yourself, a colleague, or a third party, report it to Jodie Bricout or Mark Stephens immediately. Early reporting allows Adelitics to limit potential damage.
7. Breaches
A breach of this policy may result in disciplinary action up to and including termination of employment, and may also give rise to legal liability. Adelitics will pursue remedies available under law where confidentiality or IP obligations are seriously breached.
